It may also be important to note that a regenerated creature does not go to the graveyard at any point, and does not leave or re-enter the battlefield. Regeneration also only keeps the creature from dying from damage or "destroy" effects; it doesn't stop exiling or returning to hand.

Please try to be as specific as possible when asking a Q&A question.
Let's say you have a Sporeback Troll with two +1/+1 counters on it. Your opponent casts Slaughter Pact on it. You activate Sporeback Troll's regeneration ability. Regeneration gives a "regeneration shield." The next time the creature with a regeneration shield would be destroyed, a) all damage is removed from it, b) it is removed from combat, and c) it is tapped. Slaughter Pact would resolve, and no counters would be removed from Sporeback Troll.
Here's another example, since I'm not sure of your question. You have a Troll Ascetic and your opponent casts Black Sun's Zenith for X = 4. You activate Troll Ascetic's regeneration ability in response. However, regeneration does not work in this situation, as Troll Ascetic is simply sent to the graveyard due to state-based actions. It is not destroyed, so the regeneration shield does not activate.

But if you had blocked a 1/1 with Troll Ascetic and then he cast BSZ for one in the second main phase, you could regenerate the Troll and the -1/-1 counter would stay on it.
It does make a difference, in general counters don't fall off when you regenerate a creature because the creature doesn't change zones. But like nighthawk101 said, counters can cause a creature to have 0 or less toughness, and as such die due to state-based actions.

No (unless the ability specifically asks you to remove a counter as a cost in order to regenerate it, i.e. Experiment One). It does, however, remove it from combat, tap it, and remove all damage from it. The official rules text is: The next time that creature would be destroyed this turn, it isn't. Instead tap it, remove all damage from it, and remove it from combat.
