Malignus vs Unbreathing Horde: Who wins?

The scenario: Malignus comes into play with a greater Power/Toughness to Unbreathing Hordes counters-boosted Power/Toughness.They eventually end up squaring off: Who wins? Does UH simply drop a counter and live to fight another turn, or does Malignus take it out?
Not entirely true, Unbreathing Horde's ability will still remove a counter from it, it just won't prevent the damage. This can be relevant if the Unbreathing Horde is just 1 toughness greater than Malignus' power, as it will result in them trading.

Neotrup, the premise was that malignus was already larger, though you are correct - the second ability is not entirely negated, even with malignus, the ablity resolves as best it can and simply removes a counter.

Malignus. He clearly staates that its damage cannot be prevented, so Horde's second ability does not do anything.
