Volrath copies a Beanstalk giant

If my Beanstalk Giant has a counter on it and Volrath, the Shapestealer copies it, Volrath will remain a 7/5 as per the card right?

Yes, that's right. If a copy effect says something like "except it's still (quality)", that means it won't copy any characteristic-defining abilities for whatever characteristic the given quality is referring to. Volrath, the Shapestealer doesn't copy CDAs for power and toughness.

Just to add a couple clarifying points to what Rhadamanthus said, Beanstalk Giant does not have any counters on it--it has a CDA defining Power/Toughness, as outlined above.

If you question involved a hypothetical situation where it did have a +1/+1 counter on it, the answer would still be the same - when an object copies another, +1/+1 counters are not copied.

Caerwyn: Volrath, the Shapestealer can only target a creature with a counter on it. I assume that's why it was part of the question.

Fair - I worded my response a tad poorly, and just wanted to be clear on those points since I've seen people get tripped up by both.
