interactions between Predator Ooze and Ravenous Slime

so... i'm in the process of trying to build a Ooze themed deck and i was wondering if the second effect on Ravenous Slime "if a creature would die, instead exile it..." would negate the second effect of Predator Ooze , thus costing me one of Predator's +1/+1 counters.

Correct. Ravenous Slime has a replacement effect, which replaces an event entirely. So long as Ravenous Slime remains on the battlefield with that ability, creatures your opponents control can never die, as they will be exiled instead, and thus creatures dealt damage by Predator Ooze would never die, unless they weren't controlled by an opponent.
(Getting your own Predator Ooze to damage your own creatures could be tricky, but theoretically if it did, and said creature died, Predator Ooze would get a counter, as Ravenous Slime's replacement effect only affects creatures your opponents control)
