If two creatures fight, do abilities count?

Say I have a Prey Upon and I fight a Vampire Nighthawk with Dungeon Geists , only the Vampire Nighthawk dies right? I'm pretty sure that both the deathtouch and the lifelink don't factor into the fighting.

Though abilities that specifically affect how a creature assigns and deals combat damage don't matter in a fight (first strike, double strike, trample), deathtouch and lifelink affect all damage the creature would deal (wither and infect also). In your example, both creatures die and the controller of Vampire Nighthawk gains 2 life.

They do factor in. If you read the reminder text on Vampire Nighthawk , it states that any damage, (not combat damage) is enough to kill it and gain life.
