Curse of Stalked Prey and Transform

Let's say i have a Curse of Stalked Prey on the field and my Merciless Predator  Flip dealt combat damage giving it a +1/+1 counter, on my opponent's turn he casted 2 Ponder s, so on my upkeep, my predator transforms again to a Reckless Waif  Flip  FlipMTG Card: Merciless Predator. Does it retain the +1/+1 counter?

Yes it does. A DFC (double-faced card) is still the same permanent when it transforms, it just has different properties. It will retain any equipment, auras, and counters through the transformation unless those auras and equipment could not legally be attached to the creature after the transformation.

Epochalyptik is correct. DFCs are the same object when they swap sides. The only thing that changes about them is the printed text on the card (and then anything that changes as a result of that change, as Epoch also mentioned). They even retain statuses such as tapped or untapped when they transform.
